We provide service to register only Proprietary companies limited by shares.
Can I register a 'Special Purpose' Company with you ?
Yes you can only register a “special purpose” company to act as a corporate trustee for SMSF. The constitution must specifically state that the special purpose company is acting as a trustee for SMSF.
Can I register a company after office hours, on weekends or public holiday ?
Yes, as said, you can certainly register your company after office hours, on weekends or on public holidays. Our services are available 24/7 as we are directly connected with ASIC.
How long will it take to register the company ?
It normally takes 2-3 minutes if the application is error free (or) is not marked as “manual processing” as our servers are directly linked to ASIC server. When the company gets registered with ASIC, you should get an instant email with all the required legal documents.
Application is usually marked for manual processing when the proposed name for the company contains a word which is not mentioned in Macquarie dictionary or the proposed name is similar/identical to the pre–existing registered company (or) registered business name.
Company marked for manual processing usually takes longer to register. As per ASIC the registration process may take up to 24 hours but we can tell you from our experience that it usually takes between 30 minutes to up to 2 hours if the application has been lodged within ASIC working hours.
Applications which are lodged after ASIC working hours or during weekend or public holidays and are marked for manual processing get processed the next working day.
I made a mistake while filling the application, how do I fix it ?
If the company registration application has yet to be lodged or has been rejected by ASIC for whatever reason, you can edit it before submitting/re-submitting it to ASIC.
However, if you noticed the mistake after the company is registered with ASIC, it is only possible to make changes to it by directly contacting ASIC for assistance. ASIC has a list of forms that you can use depending upon the required change. Some of the forms are:
Form 205a: This form may charge you a fee of $422 for lodgement. This form helps you to change the company name (or) correct if there is any typo.
Form 484: This form is for adding/deleting a director (or) a shareholder (or) changing the share structure (or) changing the office of the Company.
Form 492:This form is to correct the shareholder’s (or) Director’s person details like Date of Birth etc.

under limited circumstances as per terms and conditions.
In case of company registration application rejection by ASIC, we can process full refund after deducting the merchant charges of 4% if you decide not to re-lodge your application after making changes to it.
Do you provide legal advice in formation or running of company ?
No. We are an online service provider for registration of companies with ASIC. It is strongly advised that you seek professional advice on matters relating to company registration before lodging your application on our website.
Do you also provide a common seal ?
No, the common seal has been made optional since 1st July 1998. For a company’s constitution to be executed, directors (or) director and a secretary (or) a director in case of single director and secretary must sign the constitution.
Who can register an Australian Company ?
Anyone can register a company in Australia. You need to have an Australian office address for the company and atleast one of the directors must be an Australian resident.
Can I form a company with just one person ?
Yes, a company can be formed with sole person who can act both as a director and a shareholder.
Can I choose any name for my company ?
Yes; however, company applications having name containing words not in Macquarie dictionary are marked for manual processing which may slightly delay the registration process. The proposed name also should not be identical/similar to a company which has already been registered (or) a registered state trading name. There may also be certain restriction of words. Therefore, the guidelines must be met.
I have already got my proposed company name reserved with ASIC, how do I register my company ?
In the case of reserved company name with ASIC, reservation letter from ASIC and authorisation letter is needed. After you have submitted the application online you need to send these two documents to us on sales@expresscompany.com.au and our support team will contact you for further assistance.
How do I register a company with the same name as my registered state business name?
The process to register your company same as registered state business name is really simple. All you need is the state name where the business name was registered and registration number. While filling out application you will find a relevant place asking you if the company name identical to a registered State Business Name (BN).
What is included in your ABN bundle?
If you opt for the ABN bundle, we will lodge your applications for ABN/TFN, GST and/or PAYG withholding with the ATO. We will send you the ABN on our registered email Id. However, Tax File Number (TFN) is sent by the ATO to the Company's nominated address for service of notice. Once registered, your ABN will also appear on the "ABN Lookup" page on Australian Business Register website.
What is an ABN Application?
An Australian Business Number (ABN) is a unique 11 digit number that identifies your business to the government and community. You can apply for an ABN for free on www.abr.gov.au. However, the form on ABR takes about half hour to fill as it is several pages long. Our form prefills most of the required details from the company form and requires a few additional details like TFN for members etc. to complete it. It saves you a lot of time and makes the process error free. We notify you when your ABN is registered and is ready to use.
What type of company can Apply for an ABN on your online form?
We can only lodge ABN/TFN, GST and/or PAYG withholding applications for a proprietary limited company if it is an Australian resident company for tax purposes and is incorporated for profit and it does not operate an agricultural business or owned or controlled by a state or local government.
Does my company need an ABN?
When you deal with Australian Tax Office you will need ABN. When you supply goods and Services, you are required to charge Goods & Services Tax (GST) by law if your annual turnover is over $75,000. Also when you purchase goods and services, you pay GST, to claim or remit GST, you need an ABN.
The company which I want to form is going to act as a Trustee Company for a trust, Do I need ABN?
Company's registered by ASIC are eligible for ABN if they carry on an enterprise. If your company is going to only act as a trustee of a trust, usually you will not need ABN for that trustee company, however, we recommend that you seek your independent legal advice or talk to ATO.
Is GST registration compulsory?
If your company is carrying on an enterprise and its turnover is over $75,000 then you must register for GST and charge GST to your clients on the goods and services you supply and issue a Tax Invoice displaying your company's ABN. If your turnover is less than $75,000, then GST registration is optional unless you operate certain types of enterprise, like a taxi. We recommend that you seek your independent legal advice or talk to ATO.
Will I get an ABN instantly?
If an identity of any company associate cannot be verified or more information is needed by Australian Business Registrar (ABR) then it is possible that instead of ABN you get a reference number by ABR, in all other cases, you will get ABN instantly.
Can ABR refuse to issue an ABN to my company?
Yes, it is possible that ABR refuses to issue you ABN in some exceptional circumstances. They will send you a refusal number and you will receive a letter within 14 days confirming your refusal and the reasons for refusal.
How long will it take to register for ABN?
Your application with ABR is lodged as soon as your company is registered with ASIC and ACN is available, this takes usually a couple of minutes. Once the application for ABN is lodged ABN is issued immediately, say within 10 minutes of company being registered.
However if any information is incorrect, for example the information provided does not match ATO records, then ABR will need some more information from you. This new information will be requested by ABR directly within 28 days of your form being lodged.
Can I use my own ABN for my Company?
No, since a company is a separate entity, it must apply for its own ABN. An ABN identifies a particular business and if you are trading as a sole trader, then your ABN is for that enterprise and not for your new company.

My application has been rejected by ASIC. How do I fix it ?
The application can be rejected by ASIC for multiple reasons. For example the company proposed might have not met ASIC guidelines, mistyping of holding company’s ACN (or) other reasons. When your application is rejected by ASIC, you will receive an email stating the reasons for rejection of your application. You can go back on to our website and login using the username and password and fix the application and re-lodge it. After the company is registered, how will I receive my ACN and company documents?
As soon as your company gets registered with ASIC our server automatically sends you the required legal documents including the company certificate with ACN via email. These documents also get stored in your account on our website and you can access and download them from your account using the login credentials. You can also order the documents to be send through to you by courier in a ‘Deluxe Soft Leather Feel’ folder at an additional cost of $66 only.
Is my company automatically registered for ABN and TFN ?
No, if you wish to register your company for ABN/TFN/GST and/or PAYG Withholding, you will have to opt for it while filling up the form. There is an additional fee of $0 for all these registrations.
